The volume is part of the I Compendi d'Autore series, conceived and structured specifically for all those who are preparing for university oral exams and for the main public competitions .
The work is the result of a happy combination of the characteristic aspects, on the one hand, of the traditional manualistic treatment , of which it retains the structure and the essential notional approach, and, on the other, of the more modern "compendium" treatment , of which it adopts the capacity for synthesis and the schematic nature in the analysis of the legal institutions with particular attention to the practical aspects and the concrete consequences.
At the same time, care has been taken to avoid both the excessive theoretical and dogmatic burden of classical manuals and the extreme synthesis of old compendium models, which is often the “enemy” of an easy and clear understanding of the issues discussed and almost always the cause of gaps in preparation.
The result is a “third generation” model of exam preparation texts , in which the imperative is to possess all the necessary and sufficient knowledge to brilliantly achieve the final objective.
To this end, the guidelines along which the series has developed have been clarity in form and completeness in substance .
In the 2024 Editions, the Series is enriched by the inclusion of Analogies and Differences boxes, very useful in preparation because they are aimed at highlighting the common elements and distinctions between similar Institutes. The technique used in the boxes makes it very easy to use , understand and memorize aspects that are sometimes not simple and, however, essential to the disciplines covered.
The volume of “ Commercial Law ” analyses the discipline of individual enterprises, companies, securities and bankruptcy procedures, dedicating ample space also to the main types of contracts concluded in the business sector.
The Volume is updated to the most recent regulatory interventions, among which the following are highlighted:
- Legislative Decree 13 September 2024 , n . 136 (so - called “Corrective-Ter”) , containing supplementary and corrective provisions to the Corporate Crisis and Insolvency Code, with which the Legislator has marked a further step forward in updating the legislation on the management of corporate crises . This third corrective decree, the result of a careful analysis of the critical issues that emerged during the first application phase of the Code, introduces important innovations in the areas of : cancellation of tax and social security debts ; negotiated composition of the crisis ; deductibility of professional credits and over-indebtedness procedures ;
- Law 5 March 2024 , n . 21 (so -called Capital Law) , intervened to modify the Consolidated Law on Finance and the Civil Code in relation to: heterogeneous measures to facilitate companies' access to the capital market ; regulation of issuers of widely distributed financial instruments ; functioning of corporate bodies and Consob sanctioning procedure .
The Work also takes into account the most relevant jurisprudence of 2024 .
